Preconstruction Services Disclaimer.

1. Purpose and controlling documents

This Disclaimer applies to estimates, takeoffs, quantity surveys, labor-hour builds, scope sheets, bid comparisons, procurement logs, proposal drafts, formula-driven workbooks, value-engineering observations, and other preconstruction materials prepared by ALSHIMERY GROUP INC. through AGI Preconstruction.

AGI deliverables are decision-support tools. They are not independently binding bids, guarantees, contracts, or final construction prices. The applicable signed proposal, statement of work, master services agreement, or other written engagement document controls the specific scope and supersedes conflicting general language in this Disclaimer.

2. Reliance on source documents and information

AGI’s work is based on the plans, specifications, addenda, RFIs, bid instructions, photographs, schedules, narratives, vendor information, assumptions, and other records made available before the stated cutoff. Accuracy and completeness depend on the accuracy, completeness, legibility, coordination, and timeliness of those sources.

Unless expressly included in writing, AGI is not responsible for:

• documents, addenda, bulletins, substitutions, owner criteria, or site information not provided to AGI;
• conflicts, ambiguities, omissions, concealed conditions, or design errors in source documents;
• scope changes issued after AGI’s document cutoff or final delivery;
• differences between electronic drawings and actual scale, dimensions, field conditions, or as-built construction; or
• incorrect, outdated, or unauthorized information supplied by the client or a third party.

Each deliverable should identify the document set, revision status, addenda, assumptions, alternates, exclusions, and known qualifications used. The client must confirm that the governing bid set is complete before relying on the work.

3. Contractor and client control

The client retains exclusive authority and responsibility for:

• final bid strategy, pricing, markup, contingency, alternates, qualifications, exclusions, and submission;
• labor classifications, crew composition, productivity, wage rates, burden, overtime, supervision, and schedule assumptions;
• material and equipment selections, vendor quotations, freight, taxes, tariffs, escalation, availability, and lead times;
• bonding, insurance, licensing, permitting, fees, prevailing-wage, certified-payroll, union, and jurisdictional requirements;
• contract terms, liquidated damages, indemnity, warranty, retainage, payment conditions, and commercial risk;
• constructability, sequencing, means and methods, temporary work, logistics, access, phasing, shutdowns, and site safety; and
• final review, approval, signature, certification, and delivery of any bid or proposal.

AGI does not submit a bid, bind a client, accept contractual risk, modify the client’s financial assumptions, or authorize construction unless a separate written agreement expressly grants that authority.

4. No implied licensed design or construction service

Ordinary AGI estimating and preconstruction deliverables are not architectural drawings, engineering designs, stamped calculations, land surveys, code approvals, permit documents, or construction documents prepared for reliance as licensed professional work.

AGI does not represent that a takeoff, estimate, scope review, constructability observation, value-engineering idea, or proposal workbook satisfies duties reserved by law to a licensed architect, professional engineer, land surveyor, contractor, code official, safety professional, attorney, or accountant. Any service requiring a license, professional seal, certification, or responsible charge must be expressly commissioned and performed or approved by an appropriately licensed professional or entity.

AGI does not control construction means, methods, sequences, procedures, field supervision, site safety, workmanship, or code enforcement.

5. Required client verification

Before using an AGI deliverable for pricing, procurement, contracting, or construction, the client must perform a competent internal review and verify at minimum:

• project identity, bid date, drawing dates, revision numbers, addenda, specifications, and bid instructions;
• scope boundaries among owner, general contractor, subcontractors, vendors, and design professionals;
• quantities, units, formulas, extensions, alternates, allowances, exclusions, and proposal totals;
• existing conditions, dimensions, routing, access, service capacity, utility availability, and field measurements;
• applicable codes, authority requirements, permits, inspections, testing, commissioning, and closeout;
• vendor quotes, substitutions, lead times, taxes, freight, escalation, and quote expiration dates; and
• labor productivity, wage rules, work hours, phasing, shutdowns, temporary systems, supervision, and schedule constraints.

Any discrepancy, uncertainty, or apparent omission must be resolved through the client’s established RFI, design-review, field-verification, or commercial-approval process before bid submission or construction.

6. Quantities, labor, and pricing information

Takeoffs and quantities are measurements and interpretations prepared from available records; they are not warranties of installed quantities. Waste, laps, fittings, supports, accessories, routing, temporary work, loss, damage, field changes, and contractor-specific installation practices may affect actual requirements.

Labor units, production assumptions, and references to published estimating resources or industry practices are planning benchmarks only. Actual labor depends on crew capability, supervision, work rules, site conditions, congestion, access, sequencing, weather, equipment, inspection requirements, rework, and other project-specific factors.

Material, equipment, subcontractor, freight, tax, and market pricing may change without notice. Unless expressly stated, pricing should not be treated as a supplier commitment or guaranteed quotation. The client must obtain and validate current supplier and subcontractor quotations before final submission.

7. Electronic files, formulas, and revisions

Formula-driven spreadsheets and other editable files may be changed after delivery. AGI is not responsible for errors, omissions, broken formulas, changed references, altered assumptions, unauthorized access, file corruption, or results caused by modifications made outside AGI’s documented revision process.

The client must maintain version control, protect formulas and source files, review all inputs and outputs, and confirm that the latest approved revision is being used. PDF exports, summaries, dashboards, and proposal drafts must be reconciled to the controlling workbook and source documents before use.

8. Confidentiality and secure transfer

Project documents and commercial information must be transmitted through an AGI-approved channel and accessed only by authorized persons. Do not send credentials, banking information, protected personal data, or restricted owner information unless specifically required and an appropriate secure method has been established.

AGI’s confidentiality obligations are governed by the applicable NDA, services agreement, law, and Privacy Policy. The public website and meeting-request form are not secure project repositories.

9. No guarantee of bid, award, profitability, or performance

AGI does not guarantee that a bid will be complete, lowest, accepted, awarded, profitable, or free from dispute. AGI also does not guarantee actual labor hours, installed quantities, supplier performance, field productivity, schedule achievement, code approval, change-order recovery, or final project cost.

Preconstruction work reduces uncertainty through structured review; it cannot eliminate risks created by incomplete design, unknown conditions, market volatility, contractual allocation, human judgment, or construction execution.

10. Liability and timely notice

Any limitation of liability, correction period, exclusive remedy, indemnity, or claim-notice requirement in the signed services agreement applies to the engagement. The client must notify AGI promptly and before relying on a deliverable when it identifies a suspected discrepancy. Allowing AGI a reasonable opportunity to review and correct a reported issue is essential to preventing avoidable loss.

Nothing in this Disclaimer excludes liability that cannot lawfully be excluded. Website use is also governed by the Terms of Use.
