1. Acceptance of these Terms

By accessing or using this website, you agree to these Terms of Use and our Privacy Policy. If you do not agree, do not use the website or submit information through it.

“AGI,” “we,” “us,” and “our” refer to ALSHIMERY GROUP INC. acting through its AGI Preconstruction division. “You” refers to the person using the website and, when applicable, the company or organization that person represents.

2. Website purpose and permitted use

This website presents general information about AGI’s capabilities and provides channels to request a meeting or discuss a potential engagement. You may use the website only for lawful business purposes and may not:

• attempt unauthorized access to the website, systems, accounts, or data;
• introduce malicious code, interfere with website operation, or test vulnerabilities without written authorization;
• misrepresent your identity, authority, project, company, or intended use;
• submit information you are not authorized to disclose; or
• copy, scrape, republish, or commercially exploit website content except as permitted by law or written authorization.

3. Services require a separate written agreement

All actual services are governed by a written proposal, statement of work, master services agreement, purchase order accepted by AGI, or other signed agreement defining scope, deliverables, assumptions, schedule, fees, responsibilities, confidentiality, intellectual-property rights, and liability terms. If these Terms conflict with a signed services agreement, the signed agreement controls for that engagement.

AGI may accept, decline, limit, or condition any inquiry, meeting, trial scope, or proposed engagement. Availability, turnaround time, and trial eligibility are not guaranteed until AGI confirms them in writing.

Client-controlled commercial decisions

Unless a signed agreement expressly states otherwise, AGI supports takeoffs, quantity surveying, labor and material builds, scope and addenda review, bid development, proposal organization, quote leveling, procurement support, and related preconstruction functions. The client retains responsibility and authority for labor rates, wage determinations, overhead, profit, bonding, insurance, taxes, escalation, contingency, risk acceptance, final pricing, contractual commitments, and bid submission.

No unauthorized professional or contracting services

Website content and ordinary estimating deliverables do not constitute architectural services, licensed engineering design, surveying, legal advice, accounting advice, safety management, construction supervision, or an offer by AGI to perform construction. Any service legally requiring a license, seal, certification, or responsible professional must be expressly identified in writing and performed or approved by an appropriately licensed person or entity.

4. Trial-bid requests

Any trial offer is limited, discretionary, subject to capacity, and available only after AGI confirms the accepted scope, source documents, exclusions, schedule, deliverable format, and permitted use. A trial may be declined or converted to paid work when the requested project, deadline, complexity, document condition, or required effort exceeds the confirmed trial boundary.

5. User submissions and confidential information

You represent that you have authority to provide all information submitted to AGI and that doing so does not violate any contract, law, bid restriction, owner requirement, or third-party right.

The public meeting-request form is not an approved channel for drawings, credentials, trade secrets, regulated data, financial account information, or confidential pricing. Do not transmit project documents until AGI provides approved transfer instructions.

AGI treats legitimate business information responsibly, but website use alone does not create an NDA or other heightened confidentiality duty. Confidentiality obligations arise from applicable law and any written NDA or services agreement accepted by AGI.

6. Payment-instruction security

To reduce payment fraud, AGI will not rely solely on an unexpected email to change banking details, payment instructions, or remittance destinations. You must independently verify any requested change through a previously established official telephone number or other approved channel before sending funds. AGI is not responsible for payments sent to an unauthorized account when verification procedures were not followed.

7. Intellectual property

The website, branding, text, graphics, layout, workflow descriptions, and other site content are owned by or licensed to ALSHIMERY GROUP INC. and are protected by applicable intellectual-property laws. AGI grants you a limited, revocable, nonexclusive right to view the website for internal business evaluation.

Ownership and permitted use of project-specific deliverables are governed by the applicable signed services agreement. No website use transfers ownership of AGI methods, templates, formulas, tools, know-how, background materials, trademarks, or other intellectual property.

8. Third-party links and services

Links to social-media platforms, scheduling tools, email services, document systems, or other third-party resources are provided for convenience. AGI does not control and is not responsible for their content, availability, security, or independent practices.

9. Website disclaimers

THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGI DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, AND ERROR-FREE OPERATION.

Website descriptions, representative engagements, workflow illustrations, and general statements are informational and do not promise a specific result, price, schedule, capacity, savings amount, bid award, profitability level, or project outcome.

Preconstruction deliverables are subject to the separate Preconstruction Services Disclaimer and the controlling written agreement.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; LOST BUSINESS; LOST DATA; LOSS OF BID OPPORTUNITY; OR COSTS ARISING FROM WEBSITE USE, INABILITY TO USE THE WEBSITE, OR RELIANCE ON WEBSITE CONTENT.

To the extent liability cannot be excluded, AGI’s aggregate liability arising solely from use of this website will not exceed one hundred U.S. dollars (US $100). This website limitation does not replace any different limitation contained in a signed services agreement and does not exclude liability that cannot lawfully be limited.

11. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless AGI and its affiliates, officers, employees, and service providers from claims, losses, liabilities, and reasonable costs arising from your unlawful website use, unauthorized submission of third-party information, material misrepresentation, or violation of these Terms.

12. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Subject to any mandatory law or controlling written agreement, disputes concerning the website will be brought in the state or federal courts located in San Diego County, California, and each party consents to their jurisdiction.

13. Changes and severability

AGI may update these Terms by posting a revised version with a new effective date. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver.
